Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and mTxsolution Inc. ("we", "us", "our"), governing your access to and use of the mtxsolution.ca platform and all related services, including AMMA and EndofTime.

By creating an account, accessing, or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

• You must be at least 18 years of age and have the legal capacity to enter into binding agreements
• If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms

mTxsolution provides the following services:

• AMMA (Asset Management Maturity Assessment): An online self-assessment platform that evaluates organizational maturity in physical asset management across 7 pillars and 40 capabilities of the proprietary MTX Resilience framework
• EndofTime: An Enterprise Asset Management (EAM/CMMS) platform for complete asset lifecycle management, maintenance planning, and operational optimization
• Consulting services: On-site audits, strategy consulting, reliability engineering, predictive maintenance, organizational assessments, training programs, and over 12 specialized service lines
• Content and resources: Blog articles, whitepapers, glossary of asset management terms, and industry benchmarking data

AMMA offers three subscription levels:

• FLASH (Free): Limited self-assessment covering 10 key capabilities, basic dashboard, and standard report
• PREMIUM (Paid): Full self-assessment across all 40 capabilities, advanced analytics, premium PDF report with gap analysis, and sector benchmarking
• ULTIMATE (Custom quote): Accompanied on-site audit conducted by our expert consultants, executive report, COMEX-ready presentation, detailed action plan, and personalized recommendations

Pricing is displayed on the platform and may be updated. Existing subscriptions will be honored at their contracted rate for the duration of the subscription period.

When you create an account on our platform:

• You are responsible for maintaining the confidentiality of your credentials (email and password)
• You must immediately notify us of any unauthorized access or suspected security breach at mtx@mtxsolution.com
• One person per account — account sharing is strictly prohibited
• You are responsible for all activities that occur under your account
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity
• You may export or delete your account data at any time (see our Privacy Policy for details)

You agree NOT to:

• Use the platform for any illegal purpose or in violation of any applicable law
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Reverse engineer, decompile, or disassemble our software or proprietary algorithms
• Scrape, harvest, or collect data from our platform using automated tools without prior written authorization
• Upload malicious content, viruses, malware, or harmful code
• Impersonate another person, entity, or mTxsolution representative
• Use bots, scrapers, or automated tools to access the platform without authorization
• Resell or redistribute our services, reports, or content without a written agreement

The AMMA self-assessment (FLASH and PREMIUM tiers) is an online self-evaluation tool designed to provide you with a general indication of where your organization stands on the asset management maturity curve.

• The MTX Resilience framework (7 pillars, 40 capabilities, scoring methodology, and maturity model) is the exclusive intellectual property of mTxsolution Inc.
• All content, software, designs, logos, trademarks, and documentation on the platform are owned by or licensed to mTxsolution
• You may not copy, modify, distribute, or create derivative works from our proprietary content without explicit written consent
• Assessment reports generated for you are licensed for your internal use only — redistribution, publication, or commercial use of reports requires written consent from mTxsolution
• User-submitted content (justifications, proof documents, evaluation responses): you retain ownership of your content but grant us a non-exclusive license to store, process, and use it solely for the purpose of delivering our services

• PREMIUM evaluations are billed per assessment. Payment is processed securely via Stripe
• Payment is required before accessing premium features and detailed reports
• All prices are displayed in CAD (Canadian Dollars) unless otherwise specified on the platform
• We never store your credit card details — all payment data is processed directly by Stripe (PCI-DSS compliant)
• Refund policy: If you are dissatisfied with a PREMIUM evaluation, contact us within 14 days of purchase at mtx@mtxsolution.com. Refund requests are evaluated on a case-by-case basis. No refunds will be issued for evaluations that have been completed and whose reports have been downloaded.
• Invoices are available for download from your account dashboard at any time

• We target 99.9% platform uptime and continuously monitor our infrastructure
• Scheduled maintenance is performed outside of business hours whenever possible, with advance notice to active users
• We are not liable for service interruptions caused by: internet outages, third-party service failures (Stripe, email providers), natural disasters, or other force majeure events
• In case of significant downtime, we will communicate proactively via email and our status page

• For self-assessments (FLASH and PREMIUM): mTxsolution is NOT liable for any decisions, actions, or investments made based on self-assessment results. Please refer to Section 6 (Self-Assessment Disclaimer) for full details.
• To the maximum extent permitted by law, mTxsolution shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• Our total aggregate liability for any claim shall not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim
• We do not warrant that the platform will be error-free, uninterrupted, or that it will meet your specific requirements or expectations
• These limitations apply to the fullest extent permitted by applicable federal Canadian law

• These Terms are governed by the federal laws of Canada and the applicable laws of the Province of Quebec
• Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the Federal Court of Canada or the courts of competent jurisdiction in Montreal, Quebec
• Applicable legislation includes: PIPEDA (Personal Information Protection and Electronic Documents Act), CASL (Canada's Anti-Spam Legislation), and the Competition Act
• Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum period of 30 days
• You agree to resolve disputes with mTxsolution on an individual basis and waive your right to participate in class actions

We reserve the right to modify these Terms at any time. When changes are made:

• Material changes will be communicated to registered users via email at least 30 days before taking effect
• The updated Terms will be posted on this page with a new effective date
• Continued use of our services after the effective date constitutes your acceptance of the updated Terms
• If you do not agree with the changes, you must discontinue use and may request account deletion
